Terms and Conditions

Welcome to QwickChat. By purchasing or using our service, you agree to these Terms and Conditions ("Terms"). Please read them carefully.

1. Service Description

QwickChat provides AI agent setup and cloud hosting services. For a one-time fee of $149.99, you receive:

• A dedicated DigitalOcean VPS (Virtual Private Server)
• OpenClaw software installation and configuration
• Telegram bot setup connected to your agent
• Full SSH access to your server
• 1 year of cloud hosting included

After the first year, hosting renewal is $49/year. Your agent remains fully functional after year 1 — you simply pay to keep the server running.

2. What's Included

2.1 Technical Setup

• DigitalOcean Droplet (Ubuntu server)
• OpenClaw runtime environment
• Telegram bot token configuration
• Initial agent personality and skills setup
• Documentation and access credentials

2.2 What's NOT Included

• OpenRouter API key: You must create your own account at openrouter.ai and add credits (typically $5-10/month depending on usage)
• Telegram bot token: You create this via @BotFather (free)
• Custom integrations: Advanced customizations may require additional setup fees (quoted separately)

3. Pricing and Billing

3.1 Initial Payment

The one-time setup fee of $149.99 is charged at purchase. Payment is processed securely via Stripe.

3.2 Renewal

After 1 year, hosting renewal is $49/year. We'll notify you 30 days before renewal is due. Renewal is optional — you can:

• Renew with us ($49/year)
• Migrate your agent to your own server (we'll provide migration support)
• Cancel (server will be terminated after grace period)

3.3 Taxes

All prices are in USD and exclude applicable taxes (sales tax, VAT, etc.), which will be added at checkout if required.

4. Refund Policy

No refunds after setup is complete.

Once we provision your DigitalOcean server and deliver access credentials, the setup fee is non-refundable. This is because:

• We incur immediate infrastructure costs when provisioning your server
• The service is delivered in full at setup
• You receive SSH access and full control of your server

If you experience technical issues, contact hello@qwickchat.xyz — we'll work to resolve them.

5. Your Responsibilities

You are responsible for:

• OpenRouter API key: Creating an account, adding credits, and managing usage
• Telegram bot token: Creating your bot via @BotFather
• Agent usage: Ensuring your agent's actions comply with applicable laws and third-party terms of service (OpenRouter, Telegram, etc.)
• Data security: Managing SSH keys and server access credentials
• Backups: We do not provide automatic backups — you're responsible for backing up important data

6. Acceptable Use Policy

You agree NOT to use QwickChat for:

• Illegal activity: Fraud, hacking, harassment, or any unlawful purpose
• Spam: Mass unsolicited messaging or email
• Abuse: Overloading systems, attempting to bypass rate limits, or disruptive behavior
• Harmful content: Generating or distributing illegal, hateful, or harmful content
• Violations: Breaking Telegram, OpenRouter, or DigitalOcean terms of service

Violation consequences: We reserve the right to suspend or terminate your service immediately without refund if you violate this policy.

7. Service Availability

We strive to provide reliable service, but we do not guarantee 100% uptime. QwickChat is provided on a "best effort" basis. We are not liable for:

• DigitalOcean outages or infrastructure issues
• OpenRouter API downtime or rate limits
• Telegram service disruptions
• Network failures or internet connectivity issues
• Force majeure events (natural disasters, war, etc.)

If you need guaranteed uptime SLAs, enterprise support is available (contact us for pricing).

8. Support

We provide:

• Setup support: Included with initial purchase
• Email support: Best-effort response within 24-48 hours
• Documentation: Guides and FAQs at qwickchat.xyz

We do not provide:

• 24/7 live support (unless you purchase an enterprise plan)
• Custom development (available separately)
• Server management beyond initial setup (you have SSH access)

9. Data and Privacy

Your AI agent runs on your own dedicated server. We:

• Do not access your agent's data, conversations, or memory after setup (unless you request support)
• Do not store your OpenRouter API key or Telegram bot token
• Do not share your server with other customers

10. Intellectual Property

OpenClaw is open-source software. You have full rights to use, modify, and distribute it under its license.

QwickChat branding and website content are owned by QwickChat and may not be copied or used without permission.

Your content: You retain all rights to content your agent creates. We claim no ownership.

11. Limitation of Liability

To the maximum extent permitted by law, QwickChat is not liable for:

• Indirect, incidental, or consequential damages
• Lost profits, revenue, or business opportunities
• Data loss (you're responsible for backups)
• Actions taken by your AI agent
• Third-party service failures (DigitalOcean, OpenRouter, Telegram)

Maximum liability: Our total liability for any claim is limited to the amount you paid ($149.99 setup fee).

12. Indemnification

You agree to indemnify and hold QwickChat harmless from any claims, damages, or expenses arising from:

• Your use of the service
• Your agent's actions or content
• Violation of these Terms or applicable laws
• Third-party claims related to your use

13. Termination

13.1 By You

You can cancel anytime by emailing hello@qwickchat.xyz. No refund for the current billing period, but your server remains active until the end of your paid term.

13.2 By Us

We may suspend or terminate your service if you:

• Violate these Terms or the Acceptable Use Policy
• Engage in fraudulent or illegal activity
• Fail to pay renewal fees

We'll provide 7 days notice before termination (except for severe violations).

14. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date. Continued use after changes constitutes acceptance. Material changes will be communicated via email.

15. Dispute Resolution

If you have a dispute, please contact us first at hello@qwickchat.xyz. We'll work in good faith to resolve it.

If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the laws of New Jersey, United States.

16. Governing Law

These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law principles.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

18. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and QwickChat.
